Terms of Service

1. Scope and Definitions

Makrops provides web software development, mobile app development, 3D visualization, digital twin, and AI consulting/development services.

In this document, references to 'Services', 'Client', and 'Content' should be read together with project-specific agreements.

2. Service Delivery and Project Governance

• Scope, milestones, and delivery plans are defined in proposal/contract documents.
• Progress reporting and feedback cycles are maintained throughout delivery.
• Out-of-scope requests are evaluated separately and may require revised estimates.

3. Client Responsibilities

• Provide required content, access, and technical materials on time
• Participate in review and approval workflows within the agreed timeline
• Use services in compliance with applicable laws and third-party licenses

4. Fees and Payment

The pricing model (fixed fee, time & material, or hybrid) is defined in the project agreement.

Unless otherwise stated, invoices are due within 30 days from issue date.

• Late payment terms may apply as specified in your agreement.
• Services may be temporarily suspended for significantly overdue accounts.

Both parties agree to treat non-public business and technical information as confidential and use it only for service delivery.

• No unauthorized disclosure
• Reasonable technical and organizational safeguards
• Confidentiality obligations survive termination

7. Warranty Disclaimer and Limitation of Liability

Makrops aims to deliver services with professional care, but cannot assume unlimited liability for third-party outages or client-side delays.

To the extent permitted by law, indirect and consequential damages are excluded.

8. Termination

• Either party may terminate in accordance with notice and contractual terms.
• Completed work remains billable upon termination.
• Provisions intended to survive termination remain effective.

9. Governing Law and Dispute Resolution

Unless otherwise agreed in writing, these terms are governed by the laws of the Republic of Turkey.

Disputes should first be addressed through good-faith negotiation, followed by the dispute mechanism stated in the contract.

10. Updates to These Terms

Makrops may revise these terms in response to legal or operational requirements.

Updates become effective when published on this page.
